AGREEMENT OVERVIEW

Welcome to Universal Yums. “We,” “us,” and “our” mean Universal Yums, which operates this Shopify-powered store and its related information, content, functions, tools, products, and services (the “Services”). These Terms and incorporated policies set legal rights and duties, including warranty disclaimers and liability limitations. Visiting, interacting with, or using any Service signifies agreement to these Terms and our Privacy Policy; if you do not agree, do not access or use the Services.

SECTION 1 - ELIGIBILITY, ACCESS, AND ACCOUNTS

You confirm that you have reached the age of majority in your state or province and consent to dependent minors using the Services on devices you own, buy, or manage. Browsing, account access, or purchasing may require email, billing, payment, and shipping information; everything supplied must be accurate, current, complete, and yours to provide. You alone protect account credentials and answer for account activity. An account cannot be transferred, sold, assigned, or licensed.

SECTION 2 - PRODUCT PRESENTATION AND AVAILABILITY

We try to depict products and services accurately, but device type, display configuration, and settings can change color or appearance. We do not promise that a purchase will look or perform exactly as displayed or meet personal expectations. Descriptions may change without notice; any product may be discontinued, and quantities may be limited by person, geographic region, or jurisdiction in our case-by-case discretion.

SECTION 3 - ORDER OFFERS AND ACCEPTANCE

Submitting an order is an offer to buy. Universal Yums may accept or decline it for any reason; acceptance occurs only after our confirmation and receipt and processing of payment. Review carefully because cancellation may not be possible after acceptance. If an order is refused, changed, or cancelled, we will try to use the email, billing address, or telephone supplied at checkout. Returns and exchanges follow only our Refund Policy. Purchases must be for personal or household use, not commercial resale or export.

SECTION 4 - PRICE, PAYMENT, AND BILLING TERMS

Prices, promotions, and discounts may change without advance notice. The controlling price is the amount in force when the order is placed and shown in its confirmation; unless expressly stated, taxes, shipping, handling, customs, and import charges are extra. Online prices can differ from physical or third-party stores. Separate promotion terms control over these Terms if they conflict. Keep purchase, payment, account, email, card number, and expiry information current and complete. You warrant that card information is truthful, complete, authorized, and will be honored, and you agree to pay the posted price plus applicable shipping, handling, and taxes.

SECTION 5 - DELIVERY ESTIMATES AND RISK

Delivery dates are estimates, never guarantees. We are not responsible for delays caused by carriers, customs, events beyond our control, or shipping generally. Title and the risk of loss pass to you when the product is handed to the carrier.

SECTION 6 - OWNERSHIP AND INTELLECTUAL-PROPERTY RIGHTS

The Services—including trademarks, brands, text, layouts, images, graphics, product reviews, audio, video, and their selection and arrangement—belong to Universal Yums, its affiliates, or licensors and are protected by United States and foreign intellectual-property laws. Personal, noncommercial use is permitted. Without prior written consent, no one may reproduce, distribute, modify, make derivative works, publicly display or perform, republish, download, store, or transmit Service material. No implied patent, trademark, copyright, or other license is granted by Universal Yums, Shopify, or another owner. Unauthorized use can violate federal or state law; all ungranted rights are reserved. Universal Yums names, logos, designs, product/service names, and slogans require our written permission; Shopify marks belong to Shopify, and other marks belong to their owners.

SECTION 7 - OPTIONAL THIRD-PARTY TOOLS

Third-party customer tools may be made available even though we do not monitor, control, or influence them. Access is provided “as is” and “as available,” without warranty, representation, condition, endorsement, or liability. Use is entirely at your discretion and risk, after reviewing and accepting the provider's terms. Any later tools, resources, or features become part of the Services and are governed by these Terms.

SECTION 8 - LINKS AND OUTSIDE MATERIAL

Materials, hyperlinks, and embedded functions may lead to third-party sites. We do not examine or guarantee their content or accuracy; leaving the Services is at your risk. We are not liable for harm connected with outside products, services, resources, content, purchases, or use. Read the third party's policies and practices before transacting, and direct complaints, claims, concerns, and questions about that party's offerings to that party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Universal Yums is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Universal Yums. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Universal Yums, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Universal Yums.

SECTION 10 - PERSONAL INFORMATION AND PRIVACY

Personal information collected through the Services is governed by our Privacy Policy, and some information may also be governed by Shopify's Privacy Policy. Use acknowledges both. Shopify hosts the Services, processes access and use to provide and improve them, and receives submitted information together with third parties that may be in other countries. Our Privacy Policy explains how we, Shopify, and partners handle personal information.

SECTION 11 - USER FEEDBACK LICENSE

When you transmit an idea, suggestion, review, proposal, plan, or other feedback, you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display it in any medium for any purpose, including commercial operation, evaluation, promotion, and improvement of the Services and exercise of our rights. You warrant ownership or necessary rights, disclosure of compensation or incentives, and compliance with these Terms. We need not keep feedback confidential, pay for it, or answer it. We may monitor, edit, or remove unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, otherwise objectionable, IP-infringing, or Terms-violating material. Feedback may not infringe copyright, trademark, privacy, personality, or proprietary rights; be unlawful, abusive, obscene, or libelous; contain malware; use a false email; impersonate; or mislead about origin. You alone are responsible for its accuracy; we accept no liability for user or third-party feedback.

SECTION 12 - CORRECTIONS TO SERVICE INFORMATION

Service information may occasionally contain typographical errors, inaccuracies, or omissions concerning descriptions, prices, promotions, offers, shipping charges, transit times, or availability. At any time and without notice, including after an order is submitted, we may correct, change, or update that information or cancel an affected order.

SECTION 13 - UNACCEPTABLE CONDUCT

Use must be lawful. You may not use the Services to act unlawfully or maliciously; violate international, federal, provincial, state, or local law; infringe intellectual property; harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm staff or anyone else; transmit false or misleading information; exchange material that violates these Terms; send junk mail, chain letters, spam, or similar promotions; impersonate; or restrict others' use, harm Universal Yums, Shopify, or users, or expose them to liability. You also may not transmit malicious code; reproduce, duplicate, copy, extract, sell, resell, or exploit the Services; collect others' personal information; spam, phish, pharm, or pretext; use robots, spiders, scraping/extraction tools, automated devices, agentic AI, or automated or manual methods to access the Services; or bypass security, authorization, robot-exclusion, or access controls. We may suspend, disable, or terminate an account without notice for a violation.

SECTION 14 - AUTOMATED AGENT REQUIREMENTS

14.1 These Agent Terms apply whenever an autonomous or semi-autonomous software or service acting for a person or entity, and capable of operating on or through a person's device without direct supervision, accesses or interacts with the Services. 14.2 Every Agent must always identify itself and satisfy 14.4, and it must not interact after we ask it to stop. 14.3 Technical controls may limit whether or how an Agent acts. 14.4 Each HTTP/HTTPS request must identify the Agent in the user-agent string as “Agent/[agent name]”; the Agent must not hide automation, mimic human patterns, or evade CAPTCHA or human/computer tests; it must answer such tests truthfully; and it must not circumvent any control governing Agent access or interaction.

SECTION 15 - ENDING ACCESS OR THE AGREEMENT

We may end this agreement or all or part of Service access at any time, in our sole discretion and without notice. Amounts owed through the termination date remain due. Provisions that naturally survive do so, including Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, and Privacy Policy.

SECTION 16 - WARRANTY EXCLUSIONS

Service information is offered for general purposes. We do not warrant accuracy, completeness, or usefulness, and reliance is at your own risk; responsibility for such reliance is disclaimed. EXCEPT WHERE Universal Yums EXPRESSLY SAYS OTHERWISE, SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT EXPRESS OR IMPLIED REPRESENTATION, WARRANTY, OR CONDITION, INCLUDING MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE USE. SOME JURISDICTIONS LIMIT THESE DISCLAIMERS.

SECTION 17 - LIMITS ON LIABILITY

TO THE FULLEST EXTENT LAW PERMITS, Universal Yums, ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AND SHOPIFY AND ITS AFFILIATES, ARE NOT LIABLE FOR INJURY, LOSS, CLAIM, OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGE, INCLUDING LOST PROFIT, REVENUE, SAVINGS, DATA, REPLACEMENT COST, OR SIMILAR LOSS. THIS EXCLUSION APPLIES IN CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE TO SERVICE USE, PURCHASED PRODUCTS, CONTENT ERRORS OR OMISSIONS, AND CONTENT OR PRODUCTS MADE AVAILABLE, EVEN AFTER NOTICE OF THE POSSIBILITY.

SECTION 18 - YOUR INDEMNITY OBLIGATION

You will indemnify, defend, and hold harmless Universal Yums, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and providers against third-party losses, damages, liabilities, claims, and reasonable attorneys' fees arising from your breach of these Terms or incorporated documents, violation of law or third-party rights, or access to or use of the Services. We will notify you; late notice reduces the obligation only to the extent of material prejudice. At your expense we may control defense, counsel, and settlement, but need consent not unreasonably withheld before imposing a non-monetary obligation. You must cooperate and provide relevant documents.

SECTION 19 - SEVERING INVALID TERMS

A provision found unlawful, void, or unenforceable will be enforced to the maximum lawful extent, and only the unenforceable part will be severed. Every other provision remains valid and enforceable.

SECTION 20 - NO WAIVER AND THE COMPLETE AGREEMENT

Failing to exercise or enforce a right is not a waiver. These Terms and posted policies or operating rules are the entire Service agreement and replace all prior or contemporaneous oral or written agreements, communications, proposals, and earlier versions. Ambiguity is not construed against the drafter.

SECTION 21 - TRANSFER OF RIGHTS OR DUTIES

You may not assign, delegate, or transfer this agreement, a right, or an obligation without our prior written consent; an attempted transfer is void. We may assign, delegate, or transfer our rights and obligations without your consent or notice.

SECTION 22 - CONTROLLING LAW AND COURTS

These Terms and separate agreements for Services are governed and construed under the federal and state or territorial courts in the jurisdiction where Universal Yums is headquartered. You and Universal Yums consent to venue and personal jurisdiction there.

SECTION 23 - EFFECT OF SECTION CAPTIONS

Section titles are included for convenience and do not limit, modify, or otherwise affect these Terms.

SECTION 24 - FUTURE REVISIONS TO THESE TERMS

The current Terms remain available on this page. We may update, replace, or change any part in our sole discretion by publishing the revision; users should check periodically. Material changes receive the notice required by law and apply on the stated date. Continued access or use after posting accepts the revision.
